Welcome to the Vibe Membership Program by House of Vaaree Private Limited (“Vaaree”, “We”, “Us”). Please read these terms and conditions (“Terms”) carefully before purchasing or using the membership. By enrolling in the Vibe Membership, you (“Member”, “You”) agree to be bound by the Terms outlined below.

1. Membership Overview
The Vibe Membership gives Members access to:
- A unique referral/discount code (shared within 24 (twenty four) working hours of purchase)
- Exclusive discounts on Vaaree products
- Commissions on eligible orders placed using the Member’s code

2. Code Issuance & Usage
Membership codes are issued against a valid PAN and/or GST number provided by the buyer. The code is non-transferable and must not be shared across different businesses or GST entities. All commissions and related invoices will be issued only in the name of the original PAN/GST holder. Any misuse or violation of these terms may result in immediate termination of the membership.

3. Non-Refundable Purchase
The Vibe Membership is a non-refundable purchase, regardless of usage, benefits claimed, or future changes to the program.

4. Membership Activation
Upon successful payment of the membership amount, within 24 (twenty four) hours of such payment, Member specific Codes are generated and shared with the Members. Members must ensure that contact details and PAN/GST information submitted are correct. Vaaree will not be responsible for delays caused by incomplete or inaccurate information. Members shall cooperate with Vaaree in good faith in respect of any other reasonable request relating to this Terms.
The Member shall not use the Vaaree website or any content for any purpose that is unlawful or prohibited by this Terms or under law or to solicit the performance of any illegal activity or other activity which infringes the rights of Vaaree and/or others.

5. Discounts & Commission Terms
Members earn commissions and get exclusive discounts on transactions made using their code.

Vaaree reserves the full right to modify, suspend, or terminate the discount structure, commission rate, or code benefits at its sole discretion. No prior intimation shall be required for such changes.

To claim commission payments, Members shall share a valid invoice with Vaaree within 30 (thirty) days of receiving their commission report.

If the invoice is not submitted within this period, Vaaree reserves the right to transfer the commission amount to the Member’s Vaaree wallet. Once credited to the wallet, the amount cannot be refunded, transferred, or withdrawn to any external account.

Members of the VIBE program are eligible to provide Member discounts for purchase of gift cards as per the applicable terms and conditions herein. Notwithstanding the foregoing, Members shall not be entitled to any commissions or rewards on transaction(s) undertaken through their respective gift card discounts.

The exclusive details of the respective commissions and discounts for each Members shall be as per the details shared by Vaaree (via e-mail) upon onboarding.

6. Termination
The obligations and liabilities of the Member and Vaaree incurred prior to the termination date shall survive the termination of this Terms for all purposes.

Vaaree may suspend or cancel a membership without prior notice if:
- Misuse, fraud, or sharing of codes across unauthorized entities is detected
- A member is found violating any part of these Terms
- Vaaree decides to discontinue or restructure the Vibe program

7. Data & Privacy
Vaaree collects personal, financial and business details (e.g., name, PAN/GST, email, phone number) to manage and support the membership. All information is stored and used in accordance with Vaaree’s Privacy Policy and in accordance with Information Technology Act, 2000, rules and regulation made thereunder and amended from time to time.

Vaaree will share your data without taking prior consent, unless required by applicable law.

Vaaree acknowledges that it will, by reasonable means, may retain, and keep secured under its possession all material associated with the member accounts, payments, taxation and auditing, as required by the law.

Vaaree may engage third party entities to provide membership services and to comply with our legal obligations, if required.

8. Indemnity and Limitation of Liability
You agree to indemnify, defend and hold harmless Vaaree and subsidiaries, affiliates, officers, directors, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Vaaree shall not be liable for:
- Technical or system failures
- Errors due to incorrect data provided by the member
- Delays in payouts due to external system dependencies
- Our maximum liability shall be limited to the membership fee paid.

Vaaree and the Vaaree website merely provide hosting services to its registered users and persons browsing/visiting the Vaaree website. All items advertised / listed and the contents therein are advertised and listed by registered users and are third party user generated contents.

Vaaree shall bear no responsibility or liability in relation to or arising out of third party user generated content. Vaaree neither originates nor initiates the transmission nor selects the sender and receiver of the transmission nor selects nor modifies the information contained in the transmission.

Vaaree is merely an intermediary and does not interfere in the transaction between buyers and sellers.

9. Confidentiality
Member shall not, without the prior written approval of Vaaree, disclose to any person, any confidential information, other than for the purpose of this Terms and/ or as required under applicable law.

10. Non-exclusivity
The Member acknowledge that this Terms does not establish any exclusive dealings between the Member and Vaaree.

11. Changes to Terms
Vaaree may update these Terms from time to time. Updated versions will be posted on vaaree.com.

Continued participation in the program constitutes acceptance of the revised Terms. The Member hereby acknowledge that any notice or email communication of revision to these policies shall not require acknowledgement or acceptance by the Member to be effective.

Vaaree reserves the right to change, upgrade, modify, limit or suspend services or any of its related functionalities or applications at any time temporarily or permanently without prior notice.

Vaaree further reserves the right to introduce new features, functionalities or applications to the services or to future versions of the Vaaree website. All new features, functionalities, applications, modifications, upgrades and alterations shall be governed by this Terms read together with Terms and Privacy Policy as amended from time to time, unless otherwise expressly stated by Vaaree.

12. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
